These Terms of Use ("Terms") govern your use of utahgrowthdesk.com and the services provided by Ethan Ashby, doing business as Utah Growth Desk ("Utah Growth Desk," "we," "us"), based in Ogden, Utah. By using our website, booking a call, or purchasing our services, you agree to these Terms.

1. Our services

We provide marketing and automation services for businesses, which may include AI phone answering, missed-call text-back, lead follow-up automation, appointment scheduling, review requests, and Facebook and Instagram ad management. The specific services for each client are described in that client's proposal, invoice, or service agreement. If a signed service agreement conflicts with these Terms, the service agreement controls.

2. Text messaging (SMS) terms

By providing your phone number, you agree to receive text messages from Utah Growth Desk about your appointment, inquiry, or account. Message frequency varies. Message and data rates may apply. Reply STOP to unsubscribe or HELP for help. Carriers are not liable for delayed or undelivered messages. See our Privacy Policy for how we handle your information.

3. Payments

- Fees are listed in your proposal or invoice and are payable in advance through our payment processor (Stripe).

- Pay-in-full packages cover the stated service period. Monthly retainers renew each month during the agreed term unless canceled as described in your agreement.

- Trial services are paid in advance and cover the trial period stated at purchase.

- All payments are non-refundable, including trial fees, unless your written service agreement says otherwise or the law requires a refund.

- Late or failed payments may pause your services until the balance is paid.

4. Advertising spend

Advertising costs (for example, Facebook and Instagram ad spend) are separate from our fees and are paid by the client directly to the advertising platform. We are not responsible for ad platform charges, policy decisions, account restrictions, or outages.

5. Results

Marketing and lead generation results depend on many factors outside our control, including your market, pricing, offer, response time, and ad platform performance. Unless a specific result is promised in your written service agreement, we do not guarantee any particular number of leads, bookings, sales, or revenue.

6. AI tools

Our services use automated and AI-based tools that can make mistakes, misunderstand callers, or fail to respond. You are responsible for reviewing how these tools represent your business, keeping your business information accurate, and making sure urgent or emergency situations are routed to a person. AI tools are not a replacement for emergency services.

7. Client responsibilities

You agree to provide accurate business information, timely access to accounts we need (such as your Facebook business page), and approval of ad and messaging content when requested. You are responsible for complying with laws that apply to your business, including consent requirements for contacting your own customers and, where applicable, fair housing laws.

8. Acceptable use

You may not use our website or services for unlawful purposes, to send spam, or to interfere with the website's operation.

9. Intellectual property

Our website content, templates, workflows, and materials belong to Utah Growth Desk or its licensors. Your business name, logo, and content remain yours; you give us permission to use them to provide our services.

10. Disclaimer

Our website and services are provided "as is" and "as available," without warranties of any kind, to the fullest extent allowed by law.

11. Limitation of liability

To the fullest extent allowed by law, Utah Growth Desk is not liable for indirect, incidental, or consequential damages, including lost profits or lost business. Our total liability for any claim is limited to the fees you paid us in the 3 months before the claim arose.

12. Cancellation and termination

Either party may end services as described in the client's service agreement. We may suspend or end services for non-payment or a breach of these Terms.

13. Governing law

These Terms are governed by the laws of the State of Utah. Any dispute will be handled in the state or federal courts located in Weber County, Utah.

14. Changes to these Terms

We may update these Terms from time to time. The effective date at the top shows when they were last changed.
